Important status of these Terms

These Terms are between you and HOSSEINI NASAB LTD, a private limited company registered in England under company number 14644256, with registered office at 55a Warwick Road, Beaconsfield, England, HP9 2PL. HOSSEINI NASAB LTD operates the Chick product and services. In these Terms, "we", "us" and "our" mean HOSSEINI NASAB LTD. "Chick" means the Chick website, app, pages, account area, setup flow, checkout flow, subscription features, AI features, food logging, photo and voice features, nutrition and fitness features, planning tools, reports, content, emails, support, and any related services we provide. "You" means the person who visits, creates an account, subscribes to, pays for, accesses, or uses Chick.
These Terms apply together with the Privacy Policy, AI, Health, Nutrition & Fitness Disclaimer, Subscription, Billing & Refund Policy, Acceptable Use Policy, Cookie Policy, and any specific checkout or account acknowledgements shown to you. If there is a conflict, any more specific payment, health, safety, privacy, or acceptable-use term applies for that subject.
By accessing Chick, creating an account, clicking or ticking an acceptance box, continuing through setup, starting a subscription, requesting immediate access, paying for Chick, using a paid feature, or continuing to use Chick after an update, you agree to these Terms. If you do not agree, you must not use Chick.
You must be at least 18 years old to use Chick. If you use Chick for or on behalf of a business, organisation, client, family member, or another person, you confirm that you have authority to do so and that you are responsible for that use.
Nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited. Subject to that, these Terms apply to the fullest extent permitted by law.
What Chick is - and what it is not
Chick is a digital wellness, food-awareness, planning, and progress-support tool. It is intended to help users understand food choices, calories, protein, nutrients, weight trends, activity, sleep, daily planning, grocery choices, social eating, triggers, and progress patterns.
Chick is designed for education, reflection, planning, convenience, and practical guidance. It is not a medical device, healthcare provider, dietitian, nutritionist, personal trainer, laboratory, diagnostic system, emergency service, or substitute for professional judgement.
Chick does not diagnose, treat, prevent, cure, monitor, or manage any disease, injury, eating disorder, mental health condition, pregnancy concern, allergy, medication issue, or medical condition. You are responsible for deciding whether Chick is suitable for you and for checking important information before acting on it.
If you have a medical condition, take medication, are pregnant, are under medical supervision, have a history of eating disorders, have diabetes, have a heart condition, have kidney disease, are underweight, have allergies, are experiencing symptoms, or have any other health risk, you should seek qualified professional advice and must not rely on Chick as a substitute.
Availability and international users
Chick is primarily designed for users in the United Kingdom. If you access Chick from another country, you are responsible for making sure that your use is lawful where you are located.
We may limit, suspend, withdraw, or stop offering Chick, or particular features, countries, languages, payment methods, app surfaces, providers, or user groups, where we reasonably believe this is needed for legal, safety, operational, payment, security, tax, regulatory, platform, or compliance reasons.
Accounts, identity, and security
You must provide accurate account information and keep it up to date. Your Chick account is personal to you unless we expressly agree otherwise in writing. You must not sell, transfer, share, rent, sublicense, or allow another person to use your account.
You are responsible for activity that occurs through your account, devices, login provider, email account, and payment method, except where the law says otherwise. You must keep your login credentials, devices, email account, and payment details secure.
We may require email verification, legal consent, reauthentication, payment confirmation, security checks, or other account checks before allowing access to some or all features. We may refuse registration, restrict features, suspend access, or close an account where we reasonably believe this is needed to protect Chick, users, data, payments, security, compliance, or our legal position.
For ownership and support purposes, Chick may use an internal account identifier and other account records. Email addresses may be used for contact, login, billing, support, and verification, but a change of email does not by itself transfer ownership of an account or subscription.
Subscriptions, paid access, and recurring payments
Chick may offer one or more paid subscription plans. The plan name, price, billing period, currency, taxes, renewal timing, included features, and any important payment terms are shown to you before payment or inside the relevant checkout or account flow.
If you start a paid subscription, you authorise us and our payment provider to charge your selected payment method for the subscription fees, renewal payments, taxes, and any other amounts clearly presented to you. Unless the checkout or account screen says otherwise, subscriptions renew automatically until cancelled.
You are responsible for cancelling before the next renewal date if you do not want another charge. Cancelling normally stops future renewal charges. It does not automatically refund past charges, unused time, non-use, accidental renewal, forgotten cancellation, app deletion, logout, dissatisfaction, or a change of mind, except where our Subscription, Billing & Refund Policy, a written refund decision from us, or mandatory law gives you that right.
For the current web-billed model, subscription management and cancellation must be done through the billing-management route made available in your Chick account, normally by opening chick.health in a browser, signing in, opening Profile & Targets, and choosing Manage billing. Subscription management is not available inside the Chick iPhone app downloaded from the Apple App Store. Deleting or uninstalling the iPhone app, removing it from your device, logging out, not using Chick, or stopping use of Chick does not by itself cancel a subscription.
If you request account deletion while a subscription is active, we may need to cancel, expire, revoke, or otherwise handle the subscription before or during deletion. You should not assume that uninstalling an app, deleting local data, closing a browser, or ceasing use cancels third-party billing. Use the billing-management route or contact support if you cannot access it.
By continuing through checkout or payment setup, you may be asked to confirm important payment facts, including the legal documents you accept, the subscription price, the billing period, automatic renewal, how to cancel, the fact that iPhone app deletion does not cancel web-billed subscriptions, and your request for immediate access to the digital service after payment confirmation.

Immediate access and digital cancellation rights
Chick is a digital service. Where you request immediate access after payment confirmation, you expressly ask us to begin supplying the digital service and making paid features available before the end of any cancellation or cooling-off period that may otherwise apply.
Where applicable law allows, by requesting immediate access you acknowledge that you may lose any statutory cancellation or cooling-off right once digital supply or service performance has begun. Nothing in these Terms removes statutory rights that cannot lawfully be removed.
If mandatory law gives you a cancellation or refund right that cannot be waived, we will respect that right. Subject to mandatory law, requesting immediate access, receiving access, or using the service is strong evidence that supply has begun.
AI features, fair use, and service limits
Chick uses AI and automated systems to help interpret text, food descriptions, photographs, voice notes, exercise entries, plans, routines, trends, and user context. AI outputs can be inaccurate, incomplete, inconsistent, delayed, unavailable, unsuitable, or wrong. You must review outputs before relying on them.
A Chick subscription gives you access to the relevant paid digital service. It does not give you unlimited AI processing, unlimited storage, unlimited uploads, unlimited requests, guaranteed response times, guaranteed availability, or a guaranteed number of outputs unless we expressly say so in the checkout or plan description.
We may apply, change, remove, or enforce fair-use rules, security controls, abuse controls, cost controls, safety filters, capacity limits, queues, throttling, account checks, feature restrictions, or usage limits at any time. We are not required to publish technical thresholds, internal limits, security rules, model settings, operational controls, or provider limits.
We may limit, delay, refuse, or suspend access where we reasonably believe usage is excessive, automated, unsafe, abusive, unlawful, harmful, security-sensitive, payment-risky, technically disruptive, or inconsistent with the intended personal-use purpose of Chick.
Food, nutrition, fitness, weight, portion, activity, and progress information in real life is not perfectly measurable by an app. Portion sizes, recipes, restaurant meals, cooking methods, packaging data, photographs, user descriptions, device data, and database entries can all vary. Chick is intended to help with practical direction and patterns, not exact scientific measurement.
Chick may change models, prompts, logic, datasets, providers, features, and outputs over time. A past output, report, estimate, feature, or behaviour does not guarantee that the same output, report, estimate, feature, or behaviour will continue in the future.
User content and permission to use it for Chick
You may provide food logs, photos, voice notes, text, weight entries, exercise entries, sleep information, calendar items, task information, preferences, goals, feedback, support messages, corrections, and other content. This is your "User Content".
You keep any rights you have in your User Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display, analyse, transform, summarise, and use your User Content as needed to operate, secure, support, improve, evidence, and provide Chick and its features.
You confirm that you have the right to provide your User Content and that it does not violate the law or anyone else’s rights, privacy, confidentiality, or safety. Do not upload other people’s personal data, photos, health information, audio, or private information unless you have a lawful right to do so.
AI, image, audio, transcription, storage, authentication, security, email, billing, hosting, and other technical providers may process information as needed for Chick to work, as explained in the Privacy Policy.
Commercial, billing, legal, and dispute evidence records
To operate a paid digital service and protect against mistakes, fraud, chargebacks, misuse, legal claims, and payment disputes, Chick may create and retain appropriate commercial evidence records. These may include account identifiers, verified contact information, legal consent version, checkout acknowledgements, offer snapshots, payment references, subscription status, invoices, receipts, confirmation emails, support/refund communications, billing-portal events, cancellation events, failed-payment events, refund records, limited service-access timestamps, and deletion-related commercial snapshots.
These evidence records are intended to prove what was shown, agreed, paid, delivered, cancelled, refunded, disputed, or requested. They are separate from ordinary private wellness content and should not be understood as a promise that we will disclose private food logs, photos, voice recordings, health notes, AI prompts, or wellness history in a payment dispute.
If a payment is disputed, reversed, refunded, charged back, or investigated, we may submit relevant evidence to our payment provider, bank, card network, legal advisers, insurers, courts, regulators, or other appropriate parties. We may also retain evidence after account deletion where needed for legal, tax, accounting, payment, fraud-prevention, dispute, audit, or enforcement reasons.
Acceptable use
You must use Chick lawfully, responsibly, and only for intended personal wellness, education, planning, and progress-support purposes.
You must not misuse Chick, interfere with its security, scrape or copy it at scale, reverse engineer it, attempt to discover or bypass internal limits or safeguards, upload malicious content, use it to harm yourself or others, use it for emergencies, use it to provide regulated professional services without proper qualifications and responsibility, or exploit it commercially without written permission.
The Acceptable Use Policy contains more detailed rules and forms part of these Terms.
Changes to Chick and to these Terms
Chick is a developing digital and AI-based product. We may add, remove, rename, redesign, limit, suspend, replace, or change features, pages, plans, prices, usage controls, supported inputs, outputs, models, prompts, datasets, providers, integrations, and availability at any time.
We may update these Terms from time to time. If a change is material, we will take reasonable steps to make the updated version available, such as posting it, updating the date, sending notice, or requiring renewed acceptance where appropriate. Your continued use after the effective date means you accept the updated Terms, subject to mandatory law.
We are not responsible for loss caused by your reliance on the continued availability of any specific feature, price, layout, model, output, provider, integration, or usage pattern, except where mandatory law says otherwise.
Third-party services and external information
Chick may rely on third-party providers for hosting, storage, authentication, AI/model processing, image or audio processing, transcription, payment processing, email delivery, monitoring, security, diagnostics, support, and other operational services.
Third-party services may have their own terms, privacy notices, availability, limits, errors, outages, security practices, and data-handling rules. We are not responsible for third-party services beyond what mandatory law requires.
Food, nutrition, exercise, health, and wellness information may come from AI models, databases, labels, user input, public information, or estimation logic. We do not guarantee that external information is complete, current, suitable, or correct.
Intellectual property and feedback
Chick, including its software, design, brand, name, logo, copy, pages, prompts, model configuration, workflows, databases, reports, visual design, and content, belongs to us or our licensors. You receive a limited, personal, revocable, non-transferable right to use Chick in accordance with these Terms.
You must not copy, sell, resell, rent, sublicense, reproduce, adapt, distribute, publicly display, scrape, train competing systems from, or commercially exploit Chick without our written permission.
If you send ideas, feedback, suggestions, corrections, or improvement requests, you allow us to use them without restriction, confidentiality obligation, or payment to you.
Service availability, security, and suspension
We aim to provide a useful service, but Chick may be unavailable, delayed, interrupted, inaccurate, degraded, or unavailable because of maintenance, bugs, capacity limits, security events, provider issues, internet problems, model failures, payments, compliance checks, or other reasons.
We may monitor, log, investigate, block, limit, remove, preserve, or review activity where we reasonably believe this is needed for security, support, abuse prevention, legal compliance, debugging, fraud prevention, payment integrity, or service reliability.
We may suspend, restrict, or terminate access, with or without notice, where we reasonably believe there is breach, payment failure, chargeback risk, security risk, abusive use, legal risk, operational risk, or another legitimate reason. We are not required to give advance notice where doing so would create risk, compromise security, or be unlawful.
Disclaimers
Chick is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not promise that Chick will be uninterrupted, error-free, secure, accurate, complete, medically appropriate, professionally suitable, or available at any particular time or location.
We do not promise that Chick will produce any particular weight, fitness, nutrition, health, behavioural, financial, emotional, or lifestyle outcome. You remain responsible for your choices, safety, health, and reliance on information.
Limitation of liability
Nothing in these Terms excludes or limits liability where the law does not allow exclusion or limitation, including liability that cannot lawfully be excluded or limited.
Subject to the paragraph above, we are not liable for indirect, consequential, special, punitive, or exemplary loss; loss of profit, revenue, business, goodwill, opportunity, savings, data, or reputation; health, wellness, nutrition, fitness, or lifestyle decisions made by you; or losses caused by third-party providers, user error, inaccurate inputs, AI output, service interruptions, unauthorised account use, payment-provider decisions, or events outside our reasonable control.
Subject to mandatory law, our total aggregate liability arising out of or relating to Chick, these Terms, or any subscription is limited to the greater of: (a) the amount you paid to Chick for the subscription during the three months before the event giving rise to the claim; or (b) GBP 100.
Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold us harmless from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of Chick, breach of these Terms, unlawful content, infringement of rights, unsafe reliance on Chick, unauthorised professional use, chargeback misuse, or use of Chick for another person without proper authority.
Termination and account restrictions
We may suspend, restrict, or terminate your account or access where we reasonably believe there has been a breach of these Terms, payment failure, chargeback or dispute misuse, fraud risk, security risk, unsafe use, unlawful activity, misuse of AI or paid features, regulatory risk, platform risk, or another legitimate operational or legal reason.
Termination or restriction does not automatically entitle you to a refund unless mandatory law requires one or we expressly approve one in writing. Terms that by their nature should continue after termination continue to apply, including payment obligations, evidence retention, intellectual property, acceptable use, disclaimers, liability limits, dispute provisions, and any rights needed to protect Chick and users.
Consumer rights and fairness
If you are a consumer, you may have mandatory legal rights that cannot be excluded. These Terms are intended to apply as far as the law allows and should be interpreted in a way that is valid and enforceable.
If any part of these Terms is found invalid or unenforceable, the rest remains in effect. We may replace the invalid part with a valid term that comes as close as legally possible to the intended commercial effect.
Governing law and disputes
These Terms are governed by the laws of England and Wales, except where mandatory local consumer law gives you rights that cannot be removed.
The courts of England and Wales will have jurisdiction, except where mandatory law gives you the right to bring proceedings elsewhere.
Before starting a formal claim, you agree to contact us and give us a reasonable opportunity to investigate and respond, unless the law says you do not have to.
